About Dharte

Dharte is a global wellness and sustainability marketplace operated by DHARTE LLP, a Limited Liability Partnership registered in India with its registered office at B6, Beach Resort Society, 14 Bungalows Complex, Madh Island, Mumbai 400061. Dharte sells annual memberships (Standard and Premium), runs networking calls and events, and connects buyers with verified members across the wellness and sustainability ecosystem.

By accessing dharte.com or paying for a Dharte membership or event, you agree to be bound by these Terms & Conditions, the Privacy Policy, and the Cancellation & Refund Policy.

The Dharte marketplace model

Sellers on Dharte are referred to throughout the platform as members. Each member has a single member profile and is classified under exactly one of the following twelve (12) member categories:

Practitioners · Facilitators · Service Providers · Brands · Hospitals · Wellness Centres · Factories · Institutes · Artists · Venues · Influencers · Shops

From a single member profile, members may sell or offer across exactly four (4) listing types — and only these four:

  • Products — physical goods or digital goods (including ebooks).
  • Services — sessions, packages, courses or workshops, online or in-person.
  • Subscriptions — recurring offers billed monthly or yearly.
  • Events — anything date-anchored with a set day and time, online or in-person.

The annual membership fee covers verification, listing access, networking and the Dharte sales engine. Members choose two net commissions, each with a minimum of 15%:

  • B2C commission (15–50%) on MRP, for all B2C sales on Dharte across Products, Services, Subscriptions and Events. Price must be the same universally.
  • B2B commission (9–30%) on wholesale and bulk order value — when Dharte places the member's products, services, subscriptions or events with shops, retailers and buyers. Includes all promoter and introducer commissions.

The two rates are set independently by the member and can be revised from the member dashboard at any time. Promoter, introducer and referral-partner payouts are managed by Dharte separately, on Dharte's own share, and do not affect what the member keeps. Buyers do not need a Dharte membership to purchase. The full commission terms are governed by the Membership Agreement signed at checkout.

Eligibility

You must be at least 18 years of age to register for a Dharte membership or purchase a Dharte event ticket. Minors may participate only with the written consent and direct supervision of a parent or legal guardian who themselves agree to these terms.

By registering you confirm that the information you provide is accurate, current, and complete.

Account & registration

You are responsible for maintaining the confidentiality of your Dharte account login and password and for all activity that occurs under your account. You must promptly notify Dharte of any unauthorised access or suspected security breach by emailing hello@dharte.com.

Memberships & pricing

Dharte sells two annual memberships: the Standard Membership and the Premium Membership. Memberships renew annually unless you cancel auto-renewal. Prices, benefits, and inclusions are as listed on the membership page at the time of purchase.

Dharte may revise prices, benefits, and inclusions from time to time. Changes apply only to new purchases and renewals — your current paid term continues at the price you paid.

Payments

Dharte uses four PCI-DSS compliant payment gateways, routed automatically based on currency and listing category to ensure compliance with each provider's restricted-businesses policy. PayU is the primary processor for all INR transactions (memberships and marketplace), with CCAvenue as the INR fallback for restricted listings or when PayU declines. Stripe is the primary processor for non-INR transactions on Stripe-supported categories, with PayPal as the non-INR fallback for categories Stripe India restricts (astrology, tarot, occult, past-life regression and similar — see Stripe's restricted businesses list). Each gateway accepts the appropriate card networks plus regional payment methods (UPI/Netbanking via PayU/CCAvenue, Apple/Google Pay via Stripe, balance/bank via PayPal). Subscriptions are handled via Stripe Recurring with RBI-compliant e-mandate; saved cards are tokenised by the respective gateway per RBI guidelines. Dharte never sees or stores your full card number — your card data goes directly from your browser to the gateway over TLS. The gateway's terms and privacy policy apply to your payment in addition to ours.

Crypto / Web3 payments. Stripe's "Pay with Crypto" option is available on one-time marketplace purchases (Products, Services, Events, single sessions). Buyers may pay in USDC on Ethereum, Polygon, Solana or Base via a connected non-custodial wallet (MetaMask, WalletConnect, Coinbase Wallet or compatible). Stripe performs the on-chain settlement and converts the received crypto into fiat at the time of checkout; Dharte receives the proceeds in INR via the standard Stripe payout and never holds, custodies, exchanges or transmits virtual digital assets. Dharte is therefore not a Virtual Digital Asset (VDA) service provider under the IT (Reporting Entity) Rules and not a Virtual Asset Service Provider (VASP) for FIU-IND / PMLA reporting purposes — all such obligations sit with Stripe and the buyer's wallet provider. Recurring subscriptions and annual memberships remain card / UPI / Netbanking only, because Stripe Crypto is one-time only. Buyers are solely responsible for any taxes (TDS u/s 194S, VDA capital-gains tax u/s 115BBH, GST where applicable) arising from their crypto payment.

Refunds & cancellations

Refund and cancellation rules — including timelines, no-show forfeiture, rescheduling, and the 5–7 working-day refund processing window — are set out in full in the Cancellation & Refund Policy, which forms part of these terms.

User conduct

When using Dharte you agree not to:

  • Use automated tools, bots, scrapers, or crawlers to access platform code, member data, or business listings.
  • Attempt to hack, reverse-engineer, or circumvent security or access controls.
  • Upload, post, or transmit content that infringes copyright, contains malware, or violates any third-party rights.
  • Post obscene, defamatory, harassing, threatening, or unlawful content.
  • Spread misinformation that could harm members or the network's reputation.
  • Impersonate another person or entity, or misrepresent your affiliation with Dharte.
  • Use Dharte to threaten national security, public order, or any individual's safety.
  • Misrepresent any business listed on Dharte or solicit Dharte members through a competing platform without permission.

Intellectual property

All content on dharte.com — including the Promoter Course, written articles, design system, logos, branding, member directories, and the underlying software — is the intellectual property of DHARTE LLP and is protected by Indian and international copyright, trademark, and trade-secret law.

By submitting content to Dharte (member testimonials, story submissions, event descriptions, profile bios, photos), you grant DHARTE LLP a non-exclusive, royalty-free, worldwide licence to use, reproduce, adapt, and display that content for the purposes of operating, promoting, and improving the Dharte network.

Promoter commissions & payouts

Dharte Promoter commission rates are set per business and are visible to certified promoters in the Opportunities listing. Rates may change over time; the rate at the time of a successful introduction governs the payout for that introduction.

Earnings are paid quarterly in INR, GBP, or USD subject to a minimum payout threshold of ₹2,000 / £20 / $25. Below threshold, the balance rolls forward.

Limitation of liability

Dharte's role is to facilitate introductions between members. The platform and all services are provided "as is" without warranties of any kind, express or implied. Each member is responsible for their own contracts, services, payments, and outcomes with the parties they connect with on Dharte.

To the maximum extent permitted by Indian law, DHARTE LLP excludes liability for: (a) user-generated content posted by members; (b) actions or omissions of third-party service providers, payment processors, and venues; (c) platform interruptions, downtime, or data loss; and (d) indirect, incidental, or consequential damages arising from your use of Dharte.

Termination

Dharte reserves the right to suspend or revoke a membership for material breach of these terms — including conduct that harms a member, a business, or the network. Where reasonable, we will give you written notice and an opportunity to remedy. In serious cases (fraud, harassment, illegal activity) we may terminate immediately and retain any fees already paid.

Governing law & jurisdiction

These terms are governed by the laws of India. Any dispute arising from or relating to these terms or your use of Dharte shall be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra.

We acknowledge grievances within 24 hours and aim to resolve them within 15 days of receipt.

Membership Agreement

Every paid Dharte membership (Standard, Premium, Promoter, or Business) is governed by the following agreement between DHARTE LLP ("Dharte") and the member ("Vendor"), effective from the date of payment and valid for one (1) year.

1. MEMBERSHIP & LISTING SCOPE
The Vendor joins Dharte as a member under one of 12 categories: Practitioner, Facilitator, Service Provider, Brand, Hospital, Wellness Centre, Factory, Institute, Artist, Venue, Influencer or Shop. From a single member profile, the Vendor may sell across exactly four listing types and only these four: Products (physical or digital), Services (sessions, packages, courses, workshops), Subscriptions (recurring monthly or yearly) and Events (date-anchored). Standard tier (annual subscription): marketplace listing — start selling instantly; access to the Members community, events and networking; and the right to sell through Promoter commissions. Premium tier (annual subscription): everything in Standard, plus targeted marketing on demographics, demo webinars and events, and access to Dharte's multiple global offline + online distribution channels. This is a 1-year sales contract. Dharte actively sells on the Vendor's behalf.

2. COMMISSIONS & PAYMENTS
The agreed net commission applies to all sales from Dharte Clients, online or offline, across all four listing types (Products, Services, Subscriptions, Events). For online transactions, Dharte deducts commission before payout. For Subscriptions, the commission applies to every recurring billing cycle for the lifetime of the subscription. Payment processors may take 7–10 business days to clear. Vendor payouts are initiated immediately upon receipt of cleared funds. All payouts via Stripe — to a Stripe Connect account for international members, or to UPI / bank transfer for India members. For offline transactions where the client pays the Vendor directly, the Vendor shall remit Dharte's net commission immediately upon receipt. All outstanding commissions must be settled immediately upon demand or expiry/termination.

3. CLIENT OWNERSHIP
Any client introduced through Dharte's platform, events, network, referrals, marketing, or any Dharte activity is a "Dharte Client." All business from Dharte Clients — first and every subsequent transaction across any of the four listing types — carries the agreed net commission to Dharte in perpetuity, regardless of whether this Agreement is renewed, expired, or terminated. The Vendor shall not bypass or exclude Dharte from any dealings with a Dharte Client.

4. VENDOR RESPONSIBILITY
The Vendor is solely responsible for quality, accuracy, legality, manufacturing, storage, packaging, shipping, delivery, tracking, fulfilment, customer complaints, returns, refunds, exchanges, damages, delays, non-delivery, disputes, and after-sales support of all listed Products (physical and digital), Services, Subscriptions and Events. The Vendor shall maintain all required licences, registrations, insurance, and permissions.

5. TAXES
The Vendor is solely responsible for all applicable taxes including GST, income tax, and all statutory compliances. Dharte will independently maintain its own tax compliance.

6. LIABILITY & INDEMNITY
Dharte is a marketplace and sales facilitator only. Dharte does not manufacture, store, ship, deliver, or perform any Product, Service, Subscription or Event. Dharte is not liable for any loss, damage, injury, claim, or dispute arising from the Vendor's offerings or conduct. Dharte makes no guarantee of sales, revenue, or any specific outcome. The Vendor indemnifies Dharte, its partners, employees, and agents from all claims, damages, losses, costs, and expenses.

7. LISTINGS & PRICE PARITY
The Vendor grants Dharte a non-exclusive, royalty-free licence to use the Vendor's name, logo, images, and content for listing and promotion. Dharte may remove or suspend any listing at its sole discretion without notice.

The Vendor warrants and undertakes that the prices of all Products, Services, Subscriptions and Events listed on Dharte shall be uniform and universal across all sales channels. The Vendor shall not, directly or indirectly, offer, advertise, sell, or make available any listing on Dharte at a lower price, or on more favourable terms (including discounts, bundles, promotional offers, free add-ons, or rebates), through any other channel, including but not limited to the Vendor's own website, social media, third-party marketplaces, retail outlets, resellers, or private sales.

8. NO REFUNDS & TERMINATION
All membership fees are non-refundable. Either party may terminate with 30 days written notice. Commission obligations on Dharte Clients and outstanding payments survive termination in perpetuity.

9. GOVERNING LAW
This Agreement is governed by the laws of India, subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra. The Vendor is an independent contractor.

Changes to these terms

Dharte may update these Terms & Conditions from time to time. The latest version will always be published on this page with the effective date below. Continued use of Dharte after a change constitutes acceptance of the updated terms.
