Step 2 — Membership & Sales Agreement

This non-exclusive sales agreement is between Dharte LLP ("Dharte") and the member ("Vendor"), effective from the date of payment, valid for one (1) year.


1. MEMBERSHIP & LISTING SCOPE
The Vendor joins Dharte as a member under one of 12 categories: Practitioner, Facilitator, Service Provider, Brand, Hospital, Wellness Centre, Factory, Institute, Artist, Venue, Influencer or Shop. From a single member profile, the Vendor may sell across exactly four listing types and only these four: Products (physical or digital), Services (sessions, packages, courses, workshops, online or in-person), Subscriptions (recurring monthly or yearly) and Events (date-anchored). Standard tier: verified listing, networking events, community groups — up to 6 listings. Premium tier: priority listing, VIP events, networking concierge, accelerated sales — up to 24 listings, online/offline distribution and marketing globally, targeted campaigns and webinars. This is a 1-year sales contract. Dharte actively sells on the Vendor's behalf.

2. COMMISSIONS & PAYMENTS
The Vendor sets two commission rates at the time of joining, displayed in the summary above: (a) Commission to Dharte — minimum 9%, maximum 50%; and (b) Commission to Promoters — minimum 6%, maximum 30%. The Vendor's net on every sale is always 100% minus both rates combined. On direct sales (no referring Promoter), Dharte retains both slices and applies the Promoter portion toward additional marketing on the Vendor's behalf. On Promoter-referred sales, Dharte pays the Promoter their rate and retains only its own slice. Promoters earn their rate in perpetuity on every future transaction from a client they originally referred.

Payment mechanics: For online transactions Dharte deducts commission before payout. Payment processors may take 7–10 business days to clear; Vendor payouts are initiated immediately upon receipt of cleared funds. Payouts via Stripe Connect (international) or UPI / bank transfer (India). For offline transactions where the client pays the Vendor directly, the Vendor shall remit Dharte's commission within 7 days of receipt. All outstanding commissions must be settled in full immediately upon demand, expiry, or termination. The Vendor may adjust commission rates in their member dashboard at any time; rate changes apply to new sales only.

3. CLIENT OWNERSHIP
Any client introduced to the Vendor through Dharte's platform, events, network, referrals, Promoter programme, marketing, or any Dharte activity is a "Dharte Client." All business from Dharte Clients — first and every subsequent transaction, across all listing types and across all future renewals — carries the agreed Commission to Dharte in perpetuity, regardless of whether this Agreement is renewed, expired, or terminated. The Vendor shall not bypass, circumvent, or exclude Dharte from any dealings with a Dharte Client. Where a Dharte Client was originally referred by a specific Promoter, that Promoter retains their Commission to Promoters rate in perpetuity on every transaction by that client. Dharte administers Promoter identification and payment; the Vendor's obligation is solely to Dharte.

4. VENDOR RESPONSIBILITY
The Vendor is solely responsible for quality, accuracy, legality, manufacturing, storage, packaging, shipping, delivery, tracking, fulfilment, customer complaints, returns, refunds, exchanges, damages, delays, non-delivery, disputes, and after-sales support of all listed services, products, and events. The Vendor shall maintain all required licences, registrations, insurance, and permissions.

5. TAXES
The Vendor is solely responsible for all applicable taxes including GST, income tax, and all statutory compliances. Dharte will independently maintain its own tax compliance.

6. LIABILITY & INDEMNITY
Dharte is a marketplace and sales facilitator only. Dharte does not manufacture, store, ship, deliver, or perform any service, product, or event. Dharte is not liable for any loss, damage, injury, claim, or dispute arising from the Vendor's offerings or conduct. Dharte makes no guarantee of sales, revenue, or any specific outcome. The Vendor indemnifies Dharte, its partners, employees, and agents from all claims, damages, losses, costs, and expenses.

7. LISTINGS & PRICE PARITY
The Vendor grants Dharte a non-exclusive, royalty-free licence to use the Vendor's name, logo, images, and content for listing and promotion. Dharte may remove or suspend any listing at its sole discretion without notice. The Vendor warrants and undertakes that the prices of all services, products, and events listed on Dharte shall be uniform and universal across all sales channels. The Vendor shall not, directly or indirectly, offer, advertise, sell, or make available any item listed on Dharte at a lower price, or on more favourable terms (including discounts, bundles, promotional offers, free add-ons, or rebates), through any other channel, including but not limited to the Vendor's own website, social media, third-party marketplaces, retail outlets, resellers, or private sales.

8. NO REFUNDS & TERMINATION
All membership fees are non-refundable. Either party may terminate with 30 days written notice. Commission obligations on Dharte Clients and outstanding payments survive termination in perpetuity.

9. GOVERNING LAW
This Agreement is governed by the laws of India, subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra. The Vendor is an independent contractor.

What can I list on Dharte?

Every member can sell across all four Dharte listing types from a single profile:

  • Products — physical or digital goods, including ebooks.
  • Services — sessions, packages, courses or workshops, online or in-person.
  • Subscriptions — recurring offers billed monthly or yearly.
  • Events — anything with a set day and time, online or in-person.

What member category will I be listed under?

You'll be listed under one of 12 categories that best describes your business: Practitioner, Facilitator, Service Provider, Brand, Hospital, Wellness Centre, Factory, Institute, Artist, Venue, Influencer, or Shop. Solo sellers (Practitioners, Facilitators, Artists, Influencers) typically take Standard; organisations (Brands, Hospitals, Wellness Centres, Institutes, Venues, Factories, Shops) typically take Premium.

What is the difference between Standard and Premium?

Standard gives you a verified listing, access to all networking events, community groups, and the ability to list up to 6 items (across Products, Services, Subscriptions and Events) globally. Premium puts Dharte's full sales engine behind you — priority placement, VIP event access, a dedicated networking concierge, up to 24 items across all four listing types, online and offline distribution, and targeted marketing campaigns and demo webinars.

How does the commission model work?

You set two rates when you join:

  • Commission to Dharte — minimum 9%, maximum 50%. Paid on every sale.
  • Commission to Promoters — minimum 6%, maximum 30%. Paid to whichever Promoter referred the sale — in perpetuity on every future transaction from that client. If no Promoter was involved, Dharte retains both rates and uses the Promoter portion toward additional marketing for your listing.

Your net is always 100% minus both rates combined — it never changes regardless of who drove the sale.

Can I change my commission rates later?

Yes. Both your Dharte commission rate and your Promoter commission rate can be adjusted in your member dashboard at any time. Rate changes apply to new sales only — orders already placed use the rate that was live at the time of purchase. There is no limit on how often you can adjust.

Who handles shipping and handling for products?

For physical products, shipping and handling are managed by the member / vendor. Orders flow to you via Stripe with the buyer's address; you fulfil and ship directly. Dharte handles checkout, customer support and refunds policy — but the package goes from your hands to theirs.

How long does verification take?

Individual KYC verification typically takes 3–5 business days. Business KYB takes 5–7 business days. We check identity, qualifications, and public reviews. Once approved, we schedule a 30-minute onboarding call to set up your profile, bio, offers, and Stripe payout account.

Which currencies can I pay in?

You can pay in 15 currencies — INR, USD, GBP, EUR, AUD, CAD, SGD, AED, HKD, JPY, NZD, CHF, MYR, ZAR and THB. INR membership payments route through CCAvenue (UPI / Netbanking / Cards including Rupay). International (non-INR) membership payments route through Stripe (Visa, Mastercard, Amex, Apple Pay, Google Pay). Switch currency from the header to flip the gateway. Settlement in INR per RBI norms.

Can I get a personal Dharte URL — dharte.com/myname?

Yes. Every Standard and Premium member can claim a vanity handle. We'll set this up on the onboarding call after verification.

What is the refund policy?

Memberships are annual. If we're unable to verify your listing (rare), we issue a full refund. Once your profile is live, the annual fee is non-refundable — but you can choose not to renew. Write to hello@dharte.com for anything billing-related.
